1. Who We Are and What These Terms Cover

We are Sup Labs Ltd, a company registered in England and Wales with company number 15889484, whose registered office is at 483 Green Lanes, London, N13 4BS, United Kingdom. We trade as Sup. In these Terms, "Sup Labs Ltd", "we", "us" and "our" mean that company.

"The Service" means our website at sup.co and what you can use on it without a signed agreement: its pages, the free tools, the free check at sup.co/start, the booking calendar at sup.co/meet and the data files we offer for download.

These Terms cover the Service. Other agreements cover our paid work. If we run campaigns for you, the agreement you sign with us covers that work: a Master Services Agreement and a Statement of Work for each campaign. If you are a creator, our Creator Terms and the agreement you sign with us cover your work with us. If a signed agreement and these Terms say different things, the signed agreement applies.

2. Acceptance of Terms

By using the Service, you agree to these Terms, our Privacy Policy, and any other rules or guidelines that we may communicate to you. These Terms apply to all visitors, users, and others who access the Service ("Users").

3. Who Can Use the Service

You must be at least 18 years old or have parental/guardian consent to use our Service. By using the Service, you confirm that you have the legal capacity to agree to these Terms.

Our paid services are for businesses, which means brands and agencies. The free check and the booking calendar are for brands and agencies too, and they take a work email address only.

If you use the Service for a company, you confirm that you have the authority to agree to these Terms for that company. In that case "you" also means the company.

4. Your Information and Accounts

Most of the Service needs no account. Where you give us information, for example on a form or when you book a call, you are responsible for making it accurate and complete. If we give you an account, you are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use of your account.

5. Use of the Service

You agree not to: Use the Service for any unlawful purpose. Interfere with or disrupt the integrity or performance of the Service. Attempt to gain unauthorized access to the Service or related systems. We reserve the right to suspend or terminate accounts violating these Terms.

6. Free Tools

The free tools read public data from Instagram and TikTok at the time you run a lookup. They need no login to those platforms, and they do not contact the account you look up.

We keep the result of a lookup for a short time so that a repeat lookup loads quickly. The tool pages say how long.

We limit how many lookups a visitor can run. The tool pages give the limits, and we may change them. You may not run the tools with automated requests, and you may not try to get round a limit. We may limit or block a person or a network that does, and we may pause or change the tools at any time.

Some figures are counts and some are estimates. A tool says when a figure is an estimate. A figure describes an account at the time of the lookup and is not a promise of any result.

If you would like your account left out of the tools, email contact@sup.co and we will exclude the handle.

The contract template and the brief template are starting points and are not legal advice. Ask a lawyer to check a contract before anyone signs it. The calculators give a starting point for a price, and their results are not a quote from us.

7. Creator, Brand and Research Pages

Our creator, brand, niche and research pages are built from public data on Instagram and TikTok, and we publish them as research. The figures describe the date the data was collected, and they may be incomplete or out of date.

We are not connected to Instagram or TikTok. We are not affiliated with or endorsed by the brands and creators named on these pages, except where a page says that we have worked with them.

Our comparison pages describe other companies from their own public pages. Each one names its sources and the day we read them.

If a page about you or your company is wrong, or you would like it changed or removed, email contact@sup.co and we will act on it.

8. Prices and Payment

The Service is free to use. We provide paid services under a signed agreement, which sets the fees, when they are due and what is refunded.

We may change the prices and offers shown on the Service. A change does not alter a signed agreement.

9. Content and Intellectual Property

All content on the Service, including text, images, and software, is owned by Sup Labs Ltd or its licensors. You may not copy, modify, distribute, or create derivative works without explicit permission. There is one exception. Where we offer a data file to download, you may use and republish it if you credit sup.co.

The names, logos, posts and images of brands, creators, Instagram and TikTok that appear on the Service belong to their owners.

By submitting content to the Service, you grant us a non-exclusive, royalty-free license to use, modify, and display your content. This applies to what you send us through the Service, such as a message, a brief or an account handle. The rights in campaign content are set by the signed agreements.

10. Termination

We may suspend or terminate your access to the Service at our sole discretion, with or without notice, for any violation of these Terms or other legitimate reasons.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee the accuracy, completeness, or reliability of the Service.

12. Limitation of Liability

To the fullest extent permitted by law, Sup Labs Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.

Our total liability to you for all claims related to the Service or these Terms shall not exceed one hundred pounds (£100). This limit does not apply to an amount we owe you under a signed agreement, which has its own limits.

Nothing in these Terms limits liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by negligence; or (c) any liability that cannot be limited by law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of changes by updating the "Last Updated" date. Continued use of the Service constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles.

Before starting proceedings, you and we will try to resolve any dispute through good-faith negotiation for at least thirty (30) days. The state and federal courts located in the State of Delaware, USA have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

15. General

These Terms and our Privacy Policy are the entire agreement between you and us about the Service. As section 1 says, they do not replace a signed agreement.

If any provision is held unenforceable, the rest of these Terms remains in effect, and the unenforceable provision will be construed to come as close to its intent as is enforceable.

Delay in enforcing a right is not a waiver.

You may not assign these Terms without our prior written consent. We may assign them to a successor in connection with a merger, acquisition or sale of substantially all of our business.

These Terms do not confer rights on any third party.

Neither you nor we are liable for delays or failures caused by events beyond reasonable control, such as natural disasters, pandemics, government action, internet outages and platform service disruptions.
