Campaign terms

Version 1. Last updated: 13 October 2026

These terms are the agreement between Sup Labs Ltd and a business that runs creator campaigns with us on pay as you go. Please read them before you add a balance.

The main points

This list is a summary. The numbered clauses below it are the agreement.

  • There is no monthly fee. You pay US$19 for each creator, charged when their post is live. On a UGC campaign it is charged when you approve their content.
  • You also pay the gift or the price you approve for each creator. We set that price, and it includes our margin.
  • Nothing is booked until you approve the creator and the price.
  • If a creator's post does not go live, you pay no fee for that creator.
  • You can take back any balance you have not spent.
  • We do not promise results such as views, engagement or sales.
  • Each side's liability is limited. Clause 10 has the limits.
  • If your business is in the United States, disputes go to arbitration under Delaware law. Everywhere else, the courts of England and Wales decide them. Clause 16 has the detail.
How these terms work

Sup Labs Ltd is a company registered in England and Wales with company number 15889484, whose registered office is at 483 Green Lanes, London, N13 4BS, United Kingdom ("Sup"). We trade as Sup.

"Client" means the business that accepts these terms. These terms are for businesses, which means brands and agencies. They are not for consumers.

Client accepts these terms when it adds a balance at sup.co/start, or when it accepts them in another way that Sup offers, whichever comes first (the "Effective Date"). The person who does so confirms that they have authority to accept these terms for Client.

If Client and Sup have signed a Master Services Agreement, that agreement applies in place of these terms for as long as it is in force.

Our Terms of service cover the website and the free tools. These terms cover paid campaign work. Sup and Client are each a "Party" and together the "Parties".

1. Services

1.1 Sup will provide influencer marketing services to Client (the "Services") as described in each Order.

1.2 Services may include creator sourcing, vetting, contracting, briefing, payment, content management, approvals, reporting, whitelisting orchestration, shared access to Sup's main platform (the "Sup Platform") including campaign dashboards and workrooms, access to Sup's Signal Intelligence platform (the "Signals Platform"), and any other activities specified in an Order.

1.3 Sup will perform the Services with reasonable skill and care, in accordance with industry standards.

1.4 "Deliverables" means the items of creator content (for example Instagram Reels, Instagram Stories, TikTok videos, or other content types) specified in an Order, as published by the relevant Creator on the agreed platform or platforms or, on a UGC campaign, as delivered to Client as files, in a form meeting the Order's specifications and approved by Client.

1.5 A "UGC campaign" is a campaign in which Creators make content that Client or its brand posts or uses itself, and the Creators publish nothing.

2. Orders

2.1 Each campaign is set out in an order (an "Order"). An Order is the set of campaign details that Client gives Sup in the campaign form at sup.co/start, on the Sup Platform or in writing, as confirmed by Sup. An Order binds both Parties when Sup confirms it to Client by email or on the Sup Platform.

2.2 Each Order will specify: (a) the campaign type, scope and Deliverables; (b) the brand being promoted and, where Client is an agency, that brand is the "End Brand"; (c) the number of Creators and the criteria for choosing them (the "Roster Criteria"); (d) what each Creator receives, which is a gift, a price or both; (e) the campaign timeline; (f) the usage rights granted to Client; and (g) any specific requirements, such as advertising disclosure language and platform requirements.

2.3 If a term of an Order conflicts with these terms, the Order governs for that campaign on the matters listed in clause 2.2. An Order does not change any other clause of these terms unless the Order says so expressly and Sup has agreed to it in writing.

2.4 Neither Party is obliged to enter into any Order. These terms do not commit either Party to any minimum volume of work. Sup may decline an Order. A balance added for a declined Order stays available to Client under clause 4.

2.5 By placing an Order, Client confirms that it has obtained any internal or End Brand authorisation that the campaign needs.

3. Creators

3.1 Sup will source, vet, propose, contract, manage and pay all creators ("Creators") engaged for each campaign. Creators are subcontractors of Sup.

3.2 Client has no contractual relationship with any Creator. All Creator communications, payments and obligations are between Sup and the Creator.

3.3 Sup will source and propose Creators for each campaign in accordance with the Roster Criteria in the relevant Order.

(a) Outreach. An Order is Client's instruction to Sup to contact the Creators named in it, and other Creators who meet its Roster Criteria, about the campaign.

(b) Approval. Sup will negotiate engagement terms with each Creator and submit to Client, for each Creator, the proposed Creator Price (the price Client pays for that Creator's Deliverables), the mix of Deliverables and the posting schedule. Client will approve or reject each Creator and those terms within five (5) business days of receipt. Sup will not engage, contract or commit spend in respect of any Creator until Client's approval is recorded on the Sup Platform, which constitutes written approval for the purposes of this clause.

Selection and proposal of replacement Creators following any rejection is at Sup's discretion, subject to Client's continued approval rights under this clause.

3.4 Sup commits to delivering the Deliverables specified in each Order, proportionate to the funds received from Client under clause 4. Sup will use commercially reasonable efforts to manage Creators in delivering each Order. Sup does not warrant or guarantee individual Creator commercial performance, content reach, engagement metrics, or campaign outcomes. Where Sup fails to deliver any agreed Deliverable, clause 4.7 applies. The Parties may also discuss in good faith whether to source a replacement Creator, adjust the scope, or accept the shortfall.

3.5 Any performance target in an Order is a shared planning benchmark only. It is not a warranty, a Deliverable, a performance guarantee or a condition of payment. Failure to meet a target is not a breach and does not entitle Client to any refund, fee adjustment, replacement Deliverable or other remedy.

3.6 All communications regarding Creators, briefing, drafts and approvals route through Sup. Client will not communicate directly with Creators regarding campaign matters. Sup will submit drafts or assets for Client's approval, and Client will review them promptly and in good faith. Sup will provide a roster summary on approval, and a campaign close report within ten (10) business days of campaign completion.

4. Price and payment

4.1 What Client pays. There is no monthly fee. For each campaign Client pays Sup: (a) US$19 for each Creator engaged under clause 3.3(b), however many Deliverables that Creator makes, and whether Sup or Client found that Creator (the "Sup Fee"); and (b) the Creator Price for each Creator approved under clause 3.3(b). Where a Creator receives only a gift, there is no Creator Price for that Creator, and Client supplies the gift at its own cost.

4.2 When the Sup Fee is charged. The Sup Fee for a Creator falls due when that Creator's first Deliverable is published. On a UGC campaign it falls due when Client first approves content from that Creator. If a Creator publishes nothing and, on a UGC campaign, Client approves none of that Creator's content, no Sup Fee is due for that Creator.

4.3 Balance. Client pays in advance by adding a balance. A balance is a prepayment to Sup for sums that fall due under these terms, and Sup draws each sum from it when the sum falls due. Sup may ask Client to add to its balance before Sup contacts Creators and before Sup instructs a Creator to publish or deliver.

4.4 Creator Prices. Sup will not instruct a Creator to publish, or on a UGC campaign to deliver final content, until Client's balance covers that Creator's Creator Price. Where the balance covers only part of the approved Creator Prices, Sup will instruct publication in proportion to the funds received. Where Client has not added enough funds to support the full campaign, Sup may proceed at the funded scope, adjust the Deliverables and the timeline accordingly, and close out the Order at that scope.

4.5 Taking back a balance. Client may at any time ask Sup to return any part of its balance that has not fallen due and is not needed for a Creator Price that Client has approved. Sup will return it within thirty (30) days of the request, to the payment method used where that is possible, and in the currency in which Sup received it. Sup does not refund charges made by Client's bank, card issuer or payment provider, including currency conversion charges.

4.6 Payment method. Payments are in US dollars unless the Order or Sup's checkout states another currency, by card or by any other payment method Sup offers.

4.7 Where a Creator does not deliver. Where a Creator has been engaged but does not publish or, on a UGC campaign, does not deliver content that Client approves, Sup will first seek to source a replacement Creator meeting the Roster Criteria for that Order. A replacement is subject to Client's approval under clause 3.3(b). Where no suitable replacement is approved by Client within fourteen (14) days of the original Creator's withdrawal, the Creator Price for the undelivered Deliverables is returned to Client's balance in full. Sup does not pay Creators in advance of publication, so no deduction applies.

4.8 Campaign statement. Upon completion of each campaign, Sup will issue Client a statement itemising the Deliverables published or delivered by each Creator, the Creator Price for each Creator and the Sup Fees charged.

4.9 Taxes. All sums are exclusive of any sales tax, VAT or similar tax, which Client will pay in addition where applicable.

4.10 Pricing. Each Creator Price is a fixed price for that Creator's Deliverables, subject only to adjustment under clauses 4.4, 4.7 and 4.11. Sup engages and pays Creators as principal and alone decides what it pays each Creator. The Creator Price includes Sup's own margin, which Sup sets. What Sup pays a Creator and the amount of Sup's margin are Sup Confidential Information under clause 7.2 and do not affect the Creator Price. Sums paid by Client become Sup's property on receipt and are not held on trust for Client or any Creator. Clause 4.5 sets out Client's right to have an unused balance returned.

4.11 Small changes. Small changes to an active Order, such as moving budget between Creators in the same campaign, reducing the number of Creators or adding agreed work, may be agreed by email between the Parties or by Client's approval recorded on the Sup Platform. Each of these constitutes written agreement, provided the brand being promoted and the usage rights stay the same. A change of the brand being promoted, or an extension of usage rights, requires a new or amended Order confirmed by both Parties.

4.12 Changes to the Sup Fee. Sup may change the Sup Fee for future Orders by publishing the new fee on its website. A change does not apply to an Order that Sup has already confirmed.

5. Term and termination

5.1 These terms commence on the Effective Date and continue on a month-to-month basis until terminated under this clause. There is no minimum term and no lock-in.

5.2 Either Party may terminate these terms for any reason on thirty (30) days' written notice.

5.3 Either Party may terminate these terms immediately on written notice if the other Party: (a) commits a material breach not cured within fourteen (14) days of written notice; or (b) becomes insolvent, enters administration or liquidation, or makes any arrangement with its creditors.

5.4 Termination does not terminate any Order in progress. Each active Order will continue to completion under these terms, which survive for that purpose only.

5.5 On termination, and once every active Order is complete, Sup will return any balance that has not fallen due, as clause 4.5 provides.

5.6 Provisions that by their nature should survive termination (including clauses 3.5, 4.5, 4.7, 4.8, 6, 7, 9, 10, 14, 15, 16 and 17) survive termination.

6. Intellectual property and usage rights

6.1 Each Creator retains ownership of the content they create under their respective creator agreement with Sup (the "Content").

6.2 Sup procures from each Creator a worldwide, royalty-free, sublicensable and transferable license to use, reproduce, distribute, publicly display, modify and create derivative works of the Content, with the right to sublicense such rights to Sup's clients, to their named end brands, to the parties in their marketing delivery chains, and to their advertising platforms, ad accounts and whitelisting tools.

6.3 Sup grants Client a non-exclusive sublicence (sourced from Sup's licence from Creators under clause 6.2) to use the Content delivered under each Order for the purposes, on the platforms and for the duration specified in that Order and in clause 6.4. Where Client is a brand, Client may further sublicence those rights, within the same scope, to the parties in its marketing delivery chain (including the agencies and contractors that run its marketing) and to its advertising platforms, ad accounts and whitelisting tools, in each case solely to run the campaign and its paid promotion. Where Client is an agency, Client may further sublicence those rights solely to the End Brand named in the relevant Order, for use within the same scope. Client is responsible for their use of the Content as if it were its own. The rights granted under this clause may not otherwise be sublicensed, assigned or transferred.

6.4 Usage. Unless the Order says otherwise:

(a) Paid usage runs for the period chosen in the Order, or sixty (60) days where the Order names none, from first publication or delivery of each Deliverable, for paid promotion, boosting, whitelisting and dark posting within the media scope in (c). Where the Order says that no paid usage is needed, none is licensed.

(b) Organic or retained usage is indefinite from first publication or delivery of each Deliverable, for organic posting, reposting and use on Client's and the End Brand's owned channels within the media scope in (c).

(c) The media scope is social media only. The Content may be published, boosted and promoted solely on social media platforms (including Instagram, TikTok, Facebook, X and Pinterest), including through those platforms' paid tools (boosting, whitelisting, Meta Branded Content, TikTok Spark Ads and dark posting). No other channel is licensed without the Parties' prior written agreement. Channels outside this scope include YouTube, paid search (including Google search ads), websites, apps and email marketing, TV (linear or connected), out-of-home, audio and podcast advertising, and print.

6.5 Any derivative works created by Client (including paid advertisements assembled using the Content) are owned by Client, subject to the underlying license to the Content. Client's derivative rights expire when the underlying license expires.

6.6 Each Party retains all of its own pre-existing intellectual property. Nothing in these terms transfers ownership of either Party's underlying IP to the other.

6.7 Platform license. Sup grants Client a non-exclusive, non-transferable, limited license to access and use the Sup Platform and the Signals Platform (together, the "Platforms") for Client's internal business purposes while these terms are in force. Sup retains all right, title and interest in the Platforms and in any custom filters, features, integrations or workflows it develops for Client.

6.8 Platform terms. Client will not sublicense Platform access, share credentials, reverse engineer the Platforms, or use the Platforms to develop a competing product. Sup uses commercially reasonable efforts to maintain Platform availability but does not warrant uninterrupted operation. Client's Platform access terminates on termination of these terms.

7. Confidentiality

7.1 Each Party will keep confidential all non-public information disclosed by the other Party ("Confidential Information") and use it only to perform these terms.

7.2 The following are specifically Sup Confidential Information and will not be disclosed by Client to any third party: (a) Creator identities prior to public campaign launch; (b) Creator fees, rates or compensation; and (c) Sup's margin.

7.3 Confidential Information does not include information that is or becomes publicly known through no breach, was already known prior to disclosure, is independently developed, or is required to be disclosed by law (with prior notice to the disclosing Party where lawful).

7.4 This clause survives for two (2) years after termination.

8. Representations and warranties

8.1 Each Party warrants that it has full authority to enter into and perform these terms.

8.2 Sup warrants that: (a) it will perform the Services with reasonable skill and care; (b) it has procured the necessary rights from Creators to grant the licenses in clause 6; and (c) it will comply with applicable laws in performing the Services.

8.3 Client warrants that: (a) any brand assets, creative materials, product samples and information it provides are properly licensed and do not infringe third-party rights; (b) any use of Content is within the scope of the licenses in clause 6; and (c) it will comply with applicable advertising laws, including platform paid-content disclosure rules.

8.4 Except as expressly set out, all other warranties (express, implied, statutory or otherwise) are excluded to the maximum extent permitted by law.

9. Indemnification

9.1 Sup will indemnify Client from third-party claims arising from: (a) Sup's breach of clause 8.2; (b) a Creator's breach of their representations to Sup relating to ownership or licensing of Content; or (c) Sup's gross negligence or willful misconduct.

9.2 Client will indemnify Sup from third-party claims arising from: (a) Client's breach of clause 8.3; (b) use of Content beyond the scope of the licenses in clause 6; (c) Client's brand assets, creative inputs or other materials provided to Sup; or (d) Client's gross negligence or willful misconduct.

9.3 The indemnifying Party's obligations are conditional on prompt notice from the indemnified Party, reasonable cooperation, and the indemnifying Party's right to control the defense and settlement (no settlement requiring admission or payment by the indemnified Party without its consent).

10. Limitation of liability

10.1 Except for breach of clause 7 (Confidentiality) or as set out in clause 10.3, each Party's total cumulative liability under these terms is capped at the fees paid or payable by Client to Sup in the twelve (12) months preceding the event giving rise to the liability, save that each Party's total cumulative liability under clause 9 (Indemnification) is capped at three (3) times those fees.

10.2 Neither Party is liable for indirect, special, consequential, incidental or punitive damages, including lost profits or loss of business opportunity.

10.3 Nothing in these terms limits liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by negligence; or (c) any liability that cannot be limited by law.

11. Independent contractor

11.1 Sup is an independent contractor of Client. Nothing in these terms creates a partnership, joint venture, agency, employment or fiduciary relationship between the Parties.

11.2 Sup has sole discretion over the manner, means and methods of performing the Services, subject to the Deliverables and approvals set out in each Order.

11.3 Each Party is responsible for its own taxes, social security contributions and other tax liabilities arising from these terms.

11.4 Neither Party has authority to bind the other to any contract, obligation or liability without prior written consent.

12. Publicity

12.1 Sup will not use Client's name, logo, or any specific campaign reference in marketing materials, case studies, websites, pitch decks or public-facing sales materials without Client's prior written approval (email sufficient). Sup may (a) reference anonymised performance data and campaign outcomes (for example "a consumer brand client" or "a marketing agency client") in public-facing marketing materials without specific approval, and (b) reference Client by name in confidential sales conversations conducted under a non-disclosure agreement.

12.2 Any specific campaign case study or detailed disclosure requires the other Party's prior written approval (email sufficient).

13. Service levels

13.1 Sup will use commercially reasonable efforts to ensure that at least one team member is reachable seven (7) days a week, twenty-four (24) hours a day, for Urgent Matters only, through the emergency contact Sup gives Client when it confirms an Order. All other matters will be handled during Sup's normal business hours (UK working days, 09:00 to 18:00 UK time), with a target response within one (1) business day.

13.2 Sup will use commercially reasonable efforts to action Urgent Matters within four (4) hours of notification. "Urgent Matter" means a request to take down or modify live published content where delay would cause material reputational, legal or brand-safety harm, including: (a) takedown demands from a third party alleging intellectual property, music or rights infringement; (b) creator account compromise affecting live campaign content; or (c) a brand-safety incident in which Client or the End Brand reasonably believes that continued publication poses immediate reputational risk.

13.3 The response times in this clause are service targets. An isolated failure to meet a target does not of itself constitute a material breach of these terms. Repeated or persistent failure to meet them may be treated as a material breach under clause 5.3(a).

14. Compliance with laws

14.1 Each Party will comply with all applicable laws, regulations and industry codes in performing these terms, including: (a) advertising and consumer protection laws (the FTC Guides in the United States, the UK CAP Code and ASA rulings, the Digital Markets, Competition and Consumers Act 2024, and the equivalent rules of any other country at which content is directed); (b) platform disclosure requirements (for example #PaidPartnership and Meta Branded Content tools); (c) data protection laws (UK GDPR, EU GDPR, the Data Protection Act 2018 and US state privacy laws where applicable); and (d) anti-bribery laws (the UK Bribery Act and the US FCPA).

15. Notices

15.1 Notices must be in writing and delivered by email. A notice to Sup goes to contact@sup.co. A notice to Client goes to the email address of the account that accepted these terms, or to another address that Client has given Sup for notices.

15.2 An email notice is deemed received on the earlier of (i) acknowledgement by the recipient and (ii) two (2) business days after sending, provided no bounce-back or delivery failure is received.

16. Governing law and disputes

16.1 Where Client's principal place of business is in the United States, these terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these terms shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator and may be held by video conference.

16.2 In every other case, these terms are governed by, and shall be construed in accordance with, the laws of England and Wales, and the Parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales to settle any dispute arising out of or in connection with these terms.

16.3 Before commencing arbitration or proceedings, the Parties will attempt to resolve any dispute through good-faith negotiation between senior representatives of each Party for at least thirty (30) days.

17. General

17.1 Entire agreement. These terms, together with each Order, are the entire agreement between the Parties on their subject matter, superseding all prior agreements and communications. A signed Master Services Agreement between the Parties applies in their place, as the section "How these terms work" says.

17.2 Changes to these terms. Sup may change these terms by publishing a new version on this page with its date. A new version applies to Orders placed after it is published. It does not change an Order that Sup has already confirmed. Where a change is material, Sup will tell Client by email at least thirty (30) days before it applies to Client.

17.3 Assignment. Neither Party may assign these terms without the other's prior written consent, except that Sup may assign to a successor in connection with a merger, acquisition or sale of substantially all its business on prior written notice.

17.4 Severability. If any provision is held unenforceable, the rest of these terms remains in effect, and the unenforceable provision will be construed to come as close to its intent as is enforceable.

17.5 Waiver. A waiver is effective only if in writing. Delay in enforcing a right is not a waiver.

17.6 No third-party rights. These terms do not confer rights on any third party.

17.7 Force majeure. Neither Party is liable for delays or failures caused by events beyond its reasonable control (natural disasters, pandemics, government action, internet outages, platform service disruptions).

17.8 Electronic acceptance. These terms are accepted electronically. Sup keeps a record of the version that Client accepted, when it was accepted and the account that accepted it. That record is evidence of the agreement between the Parties.
